South Gold (ASX: SAU)已同意将其在韩国Kochang和Gubong项目的50%股权出售给合资伙伴Bluebird Merchant Ventures (BMV),交易价值1000万美元(1320万澳元)。
两家公司已达成最终协议,BMV将以每股0.05美元的价格发行2亿股,或至少发行5000万股,其余将以现金支付,最终价值为1000万美元。
Southern Gold董事总经理Simon Mitchell表示:“Southern Gold实际上已经同意了一项股份交换协议,一旦所有股份发行,我们将用子公司在两家(Kochang和Gubong)合资企业中50%的权益换取BMV大约30%的权益。”
Mr Mitchell指出,基于公司3月31日900万澳元的现金余额和1490万澳元的市值,BMV股份的价值将占Southern Gold 590万澳元企业价值的200%以上。
“BMV所持股份将是非常有价值的权益,我预计随着BMV在Kochang和Gubong项目上的进展,其价值将大幅上升,以实现其宣布的近期黄金和白银生产目标。”
Mitchell补充称:“作为BMV的新股东和重要股东,我们目前的意图不是向市场出售小股,这将不利于股价,而是让公司成长并推进到下一个发展阶段。”
韩国黄金项目
South Gold已卖掉Kochang和Gubong,以专注于其黄金资产组合,并将重点放在韩国的永东盆地。
该公司正在钻探Deokon项目,同时期待从Daeam最近的土壤样本中进行分析。
在Yeongdong Basin,Southern Gold集中于该地区的浅成热液金-银潜力,已完成了项目的生成普查取样。
